OrthodoxMac — End User Licence Agreement

Draft 0.2 · Last updated: 27 August 2026

This Agreement applies from the first sale of the Software. The version governing your licence is the one distributed inside the application you bought (clause 12). It is published in advance so that it can be read before buying.

This End User Licence Agreement (the "Agreement") is between you (the "User") and Areatecnica SpA, a company incorporated in Chile (the "Licensor"), concerning the software OrthodoxMac (the "Software").

By installing or using the Software you accept this Agreement. If you do not agree, do not install or use it.

0. Who sells to you, and who licenses to you

These are two different things, and it is worth saying so first.

0.1. The purchase is made through Paddle.com Market Limited ("Paddle"), acting as merchant of record: Paddle charges you, issues the receipt, and remits any applicable taxes. Your purchase relationship is governed by Paddle's terms, available on their site.

0.2. The licence to use the Software is granted by the Licensor and is governed by this Agreement.

0.3. Refunds are requested and processed through Paddle, in accordance with the policy published at https://orthodoxmac.com/refunds (the "Refund Policy"), which forms part of this Agreement.

1. Grant of licence

1.1. Subject to payment of the price and compliance with this Agreement, the Licensor grants you a personal, non-exclusive, non-transferable licence to install and use the Software.

1.2. How many machines. Each licence covers the number of computers stated in your licence key (the "seats"). Each computer consumes a seat when activated. You may release a seat from within the Software ("Release this Mac") to reuse it on another computer, for example when replacing your machine.

1.3. Which versions it covers. The licence covers the major version stated in the key and all its minor and maintenance updates (for example, every 1.x). A future major version (for example, 2.0) may require an upgrade purchase, and this will be announced with reasonable notice.

1.4. Perpetual. The licence does not expire and requires no renewal. It is not a subscription.

2. Trial period

2.1. The Software may be used without a licence for 14 days from first launch, with full functionality, with no account and no payment method.

2.2. After that period without an active licence, the Software does not close and does not lock your files: it continues to allow browsing, searching, comparing and viewing. Only operations that write to disk are suspended until activation.

3. Activation and verification

3.1. The licence key is verified offline, using signature cryptography on your own computer.

3.2. Activation binds the licence to a specific computer. It can be done online, by pressing the corresponding button, or manually by sending a code by e-mail. Online activation transmits only the order number and an irreversible value derived from the machine's identifier; it does not transmit your name, your e-mail address, or any information about your files.

3.3. After activation, the Software never contacts any server again to verify your licence.

4. Restrictions

Except to the extent that applicable law permits otherwise on a mandatory basis, you may not:

5. Revocation of a licence

5.1. The Licensor may invalidate a licence key only in the following cases: (a) refund or chargeback; (b) a key obtained fraudulently; or (c) a key published or distributed publicly in breach of clause 4.

5.2. Outside those cases, a paid licence is not revoked. Revocation is communicated within the Software itself, naming the affected order number and a way to get in touch.

6. Intellectual property

The Software is licensed, not sold. The Licensor retains all rights in the Software and its source code, which constitutes confidential information and a trade secret. This Agreement transfers no intellectual property rights to you.

7. Privacy and network connections

The Software collects no telemetry or analytics, creates no user accounts, and transmits neither the contents nor the names of your files. The only network connections are:

a) those you expressly initiate when connecting to remote servers (SFTP, SMB, WebDAV, S3, or others you configure);

b) the activation of your licence, described in clause 3.2, when you request it;

c) the update check, which is optional and remains off unless you turn it on. It fetches a version file over HTTPS and never downloads or executes anything by itself.

8. Support and continuity

8.1. The Licensor fixes defects and publishes updates within the major version purchased, at no additional cost, in accordance with the policy published at https://orthodoxmac.com.

8.2. Defects are reported through the channels indicated in the Software (Help menu) and on the site.

8.3. If the Licensor permanently ceases development of the Software, it will publish a version that requires no licence verification, so that those who paid retain the use of what they bought.

9. Statutory rights and disclaimer of commercial warranties

9.1. Nothing in this Agreement excludes or limits any rights you have on a mandatory basis as a consumer under the law of your country of residence, including, where applicable, the statutory guarantee of conformity.

9.2. Subject to that, and to the maximum extent permitted by law, the Software is provided "as is", without additional commercial warranties of merchantability, fitness for a particular purpose or non-infringement.

9.3. Backups. The Software performs operations on your files — copying, moving, deleting, renaming, compressing and synchronising. No program that writes to disk is free of defects, or of interaction with faults in hardware, the operating system or the network. Keep current, independent backups of your data.

10. Limitation of liability

10.1. Subject to clause 9.1, and to the maximum extent permitted by applicable law, the Licensor shall not be liable for indirect, incidental, special or consequential damages, including loss of data, profits or business opportunity.

10.2. The Licensor's total aggregate liability arising from this Agreement shall not exceed the price actually paid for the licence.

10.3. Nothing in this Agreement excludes liability for wilful misconduct or gross negligence, nor for personal injury, where the law does not permit such exclusion.

11. Termination

11.1. This Agreement terminates automatically if you breach clause 4. On termination you must stop using the Software and delete your copies.

11.2. Termination gives no right to a refund, unless the Refund Policy or applicable law provides otherwise.

12. Changes to this Agreement

The Licensor may amend this Agreement for future versions of the Software. Amendments do not apply retroactively to licences already purchased: the version of the Agreement governing your licence is the one distributed with the version of the Software you bought, and included inside the application itself.

13. Governing law and jurisdiction

13.1. This Agreement is governed by the laws of the Republic of Chile.

13.2. This is without prejudice to the mandatory consumer protection rules of your country of habitual residence, which shall prevail where applicable, including any forum those rules reserve to the consumer.

14. General

14.1. Severability. If any clause is held invalid, the remainder stays in force.

14.2. Entire agreement. This Agreement, together with the Refund Policy, is the entire agreement on the use of the Software and supersedes prior communications on the same subject.

14.3. Assignment. You may not assign this Agreement without the Licensor's written consent.

14.4. Language. This Agreement is published in Spanish and in English. In the event of any discrepancy, the Spanish version prevails, since the Agreement is governed by Chilean law and would be construed by a Chilean court working in that language. This does not affect clause 13.2: your mandatory consumer rights are unaffected by which language governs.

15. Third-party components

The Software links against macOS system libraries, including libarchive (BSD licence, © Tim Kientzle and contributors). It bundles no third-party dependencies. The corresponding notices are reproduced in the Software's "About" window.
